Mould Ownership in China: Guide for Nigerian Buyers
Mould ownership in China needs attention before you pay for custom production. A Nigerian buyer can fund tooling, approve packaging and order stock while leaving important questions unanswered about the assets and files needed for the next order.
Start by recording what the supplier will create, who will own or control each item, and what happens if you change factories. Keep those answers consistent across the quotation, production agreement and payment records.

What does a supplier’s mould fee actually pay for? #
Ask the supplier to separate design work, tool manufacture, trial runs, modifications, samples and packaging artwork. Identify anything excluded from the quoted price.
Also establish whether you are commissioning new tooling or paying to adapt an existing product. Our own-brand guide explains the wider choices before customisation.
If tooling costs are recovered through the unit price, request the recovery schedule and what happens if orders stop early.
For a fictional example, suppose CNY 12,000 is recovered through CNY 3 added to each of 4,000 units. After 1,000 units, CNY 3,000 has been recovered and CNY 9,000 remains unrecovered under that model.
That arithmetic does not determine ownership or create an automatic exit payment. Those consequences need their own agreed terms.
What should you agree about mould ownership in China? #
Ask the agreement to identify:
- The specific tools covered.
- Who owns each tool and when ownership takes effect.
- Who holds it and where it may be kept.
- Which orders it may be used for.
- Whether subcontracting or relocation requires approval.
- Responsibility for maintenance, damage and replacement.
- Inspection, release and transfer arrangements.
Treat the physical asset and its intellectual property separately. Article 600 of China’s Civil Code provides that buying an item involving IP does not itself give the buyer those IP rights, unless the law or agreement provides otherwise.
Have a lawyer experienced in Chinese manufacturing contracts review the ownership and IP terms for your arrangement. Ask how the agreement addresses improvements and tools funded jointly with the supplier.
Connect the accepted agreement and its asset schedule to your purchase order, using clear references and revisions.
What should you put in a tooling register? #
Create a record that lets someone identify the actual asset, even if the original salesperson leaves.
For each tool, record:
- Your asset reference and the supplier’s reference.
- Product, component and drawing revision served.
- Photographs and identifying marks, where practical.
- Toolmaker, production factory and storage location.
- Person or company responsible for custody.
- Agreed cost and payment records.
- Acceptance, maintenance and modification records.
- Related agreement and transfer conditions.
Ask the custodian to acknowledge the record. Update it when a tool moves, is repaired or receives a replacement part.
For example, give a bottle-body mould and a cap mould different asset references. Keep the approved drawing revision beside each reference so a replacement component can be traced to the right tool.
If a trader places the order with another factory or mould maker, clarify each company’s role. Ask how your instructions and agreed restrictions reach the party holding the asset.
Our factory-or-trading-company guide helps you investigate who handles the work. Photographs support identification, but they should accompany the written records.
Who controls logo artwork, drawings and editable files? #
List these deliverables separately from the mould. A print preview may be useful for approval while leaving you without the working file needed for later revisions.
Where China’s Copyright Law applies, Article 19 makes the agreement important for commissioned works: without a clear contractual allocation, copyright belongs to the commissioned party. Do not assume a design fee settles every right you need.
Agree which rights are assigned or licensed, which uses are permitted, and when the files must be delivered. Include the formats needed by the next designer, printer or manufacturer.
Useful file records can include:
- Editable artwork and the approved print version.
- Drawing files and revision identifiers.
- Packaging dimensions and colour references.
- Font, image and other third-party permission information.
- A record of who approved each version.
For confidential designs, agree access and disclosure controls before sharing detailed files. WIPO’s trade-secret guidance identifies reasonable secrecy measures as part of protection. Keep dated delivery records and controlled backups within your business.
How do you connect samples and inspection to the correct tool? #
Identify the tooling, drawing revision and specification used for each trial. Ask the supplier to explain any changes between the approved sample and planned production.
A useful approval record says what passed, what requires adjustment and which version may enter production. Request written confirmation before substitutions or modifications.
Use our sample-order guide to plan approval before a bulk commitment.
For inspection, give the inspector the agreed specification, sample reference and relevant asset identifiers. Ask for the checks you need rather than assuming a photograph proves performance or readiness for production.
Our quality-inspection guide explains how to set the scope. Record the evidence required for each payment milestone alongside your acceptance criteria.
What happens if you want to move the mould to another factory? #
Plan the handover before a disagreement occurs. Agree the request process, notice period, authorised recipient and responsibility for packing, collection and transport costs.
Include a condition check, an asset list and a record of any files or accessories travelling with the tool. Ask a qualified engineer or the receiving factory to confirm technical compatibility before arranging the move.
Before closing the handover, ask the receiving factory to confirm that it can open the agreed files and identify the tooling accessories. Record missing items and the agreed remedial action before marking the handover complete.
Sofeast’s manufacturing guidance highlights that tool design, fabrication and parts production can involve different parties. Identify which party must deliver each part of the handover.
If money or ownership is disputed, get legal advice before scheduling collection. Chinese law includes retention rules for certain unpaid contracted work; how they affect your situation needs review of the facts and agreement.
Check our supplier-deposit guide when recording payment stages. Keep tooling payments distinct from production balances so your records show what each payment covered.
What else do Nigerian buyers ask? #
Does every branded product require a new mould? #
Ask what the customisation involves. Confirm whether the price covers new tooling, an existing product or another branding process.
Does paying a mould fee give me every design right? #
Record physical ownership and IP rights separately. Have the agreement state the rights and permissions needed for the project.
Can the factory store my tooling between orders? #
Agree custody, maintenance, access and permitted use in writing. Keep an updated record of where the tool is held.
Can a packaging preview replace editable artwork? #
Specify both approval files and editable deliverables where needed. Confirm formats, permissions and delivery milestones before commissioning the work.
What if part of the design already belongs to the factory? #
Identify existing supplier material separately from your contributions and new development. Agree the permissions needed to manufacture or transfer production.
Does a confidentiality agreement cover everything? #
Coordinate confidentiality with ownership, permitted use, production, payment and release terms. Ask your lawyer which documents suit the arrangement.
What if the supplier already refuses to release the tool? #
Preserve agreements, invoices, messages, payment evidence and asset records. Seek legal review of ownership and any claimed retention rights before taking action.
